- WELCOME TO THE HOBBYTEER WEBSITES AND MOBILE PROPERTIES LOCATED AT WWW.HOBBYTEER.COM, RELATED SOFTWARE APPLICATIONS (SOMETIMES REFERRED TO AS “APPS”), DATA, SMS, APIs, EMAIL, CHAT AND TELEPHONE CORRESPONDENCE, BUTTONS, WIDGETS AND ADs (COLLECTIVELY, ALL OF THESE ITEMS SHALL BE REFERRED TO HEREIN AS THE “SERVICES”; MORE GENERALLY, THE HOBBYTEER WEBSITES AND MOBILE PROPERTIES SHALL HEREINAFTER BE REFERRED TO HEREIN AS THE “WEBSITES”).
- THIS TERMS OF SERVICE AGREEMENT (THIS “TERMS”) IS A LEGAL AND BINDING AGREEMENT BETWEEN YOU (“YOU,” “YOUR” OR “YOURSELF”) AND HOBBITER.COM D/B/A HOBBYTEER, INC. THE TERMS “OUR,” “US,” “WE” OR “HOBBYTEER” IN THESE TERMS REFER TO HOBBITER.COM D/B/A HOBBYTEER, INC. A CALIFORNIA CORPORATION, AND THESE TERMS GOVERNS YOUR USE OF THE “SERVICES.”
- PLEASE READ THESE TERMS CAREFULLY PRIOR TO USING THE SERVICES. BY REGISTERING FOR, USING OR OTHERWISE ACCESSING THE SERVICES, YOU ARE CONSENTING TO BECOME A PARTY TO THESE TERMS AND AGREEING TO BE BOUND BY AND COMPLY WITH THE (1) TERMS OF SERVICE AND (2) PRIVACY POLICY.
- HOBBYTEER IS A PLATFORM THAT CONNECTS PRODUCT MANUFACTURERS WITH INFLUENCERS SEEKING SPONSORSHIP OPPORTUNITIES. OUR SERVICES FACILITATE PARTNERSHIPS FOR MARKETING CAMPAIGNS AND PRODUCT PROMOTIONS.
- THE SERVICES ARE OFFERED AND MADE AVAILABLE ONLY TO USERS 13 YEARS OF AGE OR OLDER. IF YOU ARE NOT YET 13 YEARS OLD, PLEASE DISCONTINUE USING THE SERVICES IMMEDIATELY. IF YOU ARE UNDER 18 YEARS OLD, YOU MAY USE THE SERVICES ONLY WITH YOUR GUARDIAN OR PARENTS’ PERMISSION TO USE THE SERVICES.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED AND ENFORCED IN ACCORDANCE WITH THE LAWS OF STATE OF CALIFORNIA, REGARDLESS OF YOUR RESIDENCY AND THE LAWS THAT MIGHT OTHERWISE GOVERN UNDER APPLICABLE PRINCIPLES OF CHOICE OF LAW. THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE TERMS WILL IN NO WAY AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. PLEASE DISCONTINUE USING THE SERVICES IMMEDIATELY, OR IF, FOR ANY REASON, YOU DO NOT ACCEPT AND AGREE TO ALL THE TERMS AND CONDITIONS OF (1) TERMS OF SERVICE AND (2) PRIVACY POLICY.
- THESE TERMS CONTAINS AN ARBITRATION CLAUSE. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THE ARBITRATION CLAUSE, YOU AND HOBBYTEER THAT DISPUTES RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
- HOBBYTEER MAY AT ANY TIME AMEND THESE TERMS, AND IF WE DO, WE WILL NOTIFY YOU BY REVISING THE DATE AT THE TOP OF THESE TERMS, AND IN SOME CASES, WE MAY PROVIDE YOU WITH ADDITIONAL NOTICE. YOU WAIVE ANY RIGHT TO RECEIVE SPECIFIC NOTICE OF EACH SUCH CHANGE. YOU SHOULD REGULARLY REVIEW THE MOST UP-TO-DATE VERSION OF THESE TERMS ON OUR WEBSITE. UNLESS OTHERWISE NOTED, THE AMENDED TERMS WILL BE EFFECTIVE IMMEDIATELY, AND YOUR CONTINUED USE OF OUR SERVICES WILL CONFIRM YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO THE AMENDED TERMS, PLEASE STOP USING OUR SERVICES.
- SUPPLEMENTAL TERMS AND CONDITIONS OR DOCUMENTS THAT MAY BE POSTED ON THE SERVICES FROM TIME TO TIME ARE HEREBY EXPRESSLY INCORPORATED HEREIN BY REFERENCE.
- ACCESS TO THE SERVICES
- You may use the Services only if you can legally form a binding contract with HOBBYTEER, and only in compliance with these Terms, all of the terms incorporated herein by reference, and all applicable laws. When you create your HOBBYTEER account, you must provide us with accurate and complete information. Any use or access by anyone under the age of 13 is not allowed. Using our Services may include downloading software to your computer, phone, tablet, or other device. You agree that HOBBYTEER may automatically update that software, and these Terms will apply to any updates.
- Subject to certain limitations as described herein, you are granted the right to access text, files, images, artworks, illustrations, photos, video, templates, sounds, musical works, works of authorship, applications, or any other materials provided on the Services under certain terms and conditions as set forth in these Terms.
- ACCOUNT REGISTRATION
- In order to access or use our Services, you may be required to create a HOBBYTEER account (“Account”) and become a user (“User”) of the Services. During the registration process you will be required to provide certain information and establish a username and a password. You agree to provide accurate, current and complete information during the registration process and at other times when you use the Services and to update such information to keep it accurate, current and complete.
- During the registration process, you will specify if you are registering as a Creator/Influencer or Product Manufacturer. You may be asked to provide further information and supporting documents to verify your user type and qualifying status, whereupon you may gain access to the appropriate Services as a registered user (“Registered User”), subject to approval by HOBBYTEER at its sole discretion.
- HOBBYTEER reserves the right to refuse to keep Accounts for, or provide Services to, any individual, if we have a valid reason thereto. HOBBYTEER also has the right to immediately suspend your Account, pause or cancel your access to the Services, or close your account if we suspect, in our sole discretion, that (a) your Account is being used for money laundering or any illegal activity; (b) you have concealed or provided false identification information or other details; (c) you have engaged in fraudulent activity; (d) you have made transactions using inappropriate methods (including but not limited to using stolen funds or payments methods, or attempting to chargeback your payment while retaining or disposing of an item); (e) you are using, employing, or operating bots or other forms of automation and/or multiple Accounts to engage in any activity; or (f) you have otherwise acted in violation of these Terms. If HOBBYTEER has a reasonable belief that you have engaged in activities above, we reserve the right, in our sole discretion, to confiscate any purchases pursuant to those activities and/or deem such transactions null and void.
- PAYMENT, , CREDITS, AND REFUNDS
- Pricing.
1) The prices and fees for products, sponsorships, campaigns, or other arrangements on our Services are determined by separate agreements between the parties involved. HOBBYTEER facilitates these arrangements by providing payment processing and campaign coordination services.
2) HOBBYTEER occasionally runs promotions and sales for our Services, during which certain Services are available at discounted prices for a set period of time. The price applicable to the Services will be the price at the time you complete your purchase of the Services Any price offered for particular Services may also be different when you are logged into your account from the price available to users who are not registered or logged in, because some of our promotions are available only to new users.
3) If you are located in a country where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, HOBBYTEER is responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.
- Payments.
1) You agree to pay the fees for Services that you purchase, and you authorize HOBBYTEER to charge your debit or credit card or process other means of payment for those fees. HOBBYTEER works with payment service providers to offer you the most convenient payment methods in your country and to keep your payment information secure. HOBBYTEER may update your payment methods using information provided by our payment service providers. Check out our Privacy Policy for more details.
2) When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the Service, you agree to pay us the corresponding fees within thirty (30) days of notification from us. HOBBYTEER reserves the right to disable access to any Services for which we have not received adequate payment.
- Refunds and Refund Credits.
1) If the Services you purchased are not what you were expecting, you can request, within 14 days of your purchase of the Services, that HOBBYTEER review the purchase, and if applicable, apply a refund to your Account. If HOBBYTEER agrees that a refund is appropriate, HOBBYTEER reserves the right to apply your refund as a refund credit or a refund to your original payment method, at our discretion, depending on capabilities of our payment service providers, the platform from which you purchased your product (website or mobile app), and other factors. No refund is due to you if you request a refund review after the 14-day time limit has passed. However, if the Services you previously purchased are disabled for legal or policy reasons, you may be entitled to a refund beyond this 14-day limit.
2) If HOBBYTEER decides to issue refund credits to your Account, they will be automatically applied towards your next purchase on our Services. Refund credits may expire if not used within the specified period and have no cash value, in each case unless otherwise required by applicable law.
3) If HOBBYTEER believes you are abusing our refund policy, such as if you have significantly benefited from using the Service, or if you have previously refunded the Services, at our sole discretion, we reserve the right to deny your refund, restrict you from other future refunds, ban your Account, and/or restrict all future use of the Services. If HOBBYTEER bans your Account or disables your access to the Services due to your violation of these Terms, you will not be eligible to receive a refund. - USER CONTENTS
- Content that you post using our Services is your content (“User Content”). HOBBYTEER will not make any claim to it, which includes anything you post using our Services (like photos, reviews, comments, videos, usernames, etc.). Although HOBBYTEER is not required to monitor any User Content, we may, in our sole discretion, remove any User Content at any time and for any reason without notice. We may monitor User Contents to detect and prevent fraudulent activity or violation of these Terms.
- You agree that you are solely responsible for User Contents. You represent that you have all necessary rights to all parts of User Contents and that you are not infringing or violating any third party’s rights by posting it.
- By posting User Contents, you grant HOBBYTEER a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of User Contents. This allows HOBBYTEER to provide the Services and to promote HOBBYTEER, or the Services in general, in any formats and through any channels, including across any our Services, our partners, or third-party website or advertising medium. You agree not to assert any moral rights or rights of publicity against us for using User Contents. You also recognize our legitimate interest in using it, in accordance with the scope of this license, to the extent User Contents contain any personal information.
- You have no obligation to provide HOBBYTEER with ideas, suggestions, proposals, or bug or crash reports (“Feedback”). If you submit Feedback to HOBBYTEER, however, then you also grant us a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, sublicensable, and transferable license to make, use, sell, have made, offer to sell, import, export, reproduce, publicly display, distribute, modify, and publicly perform the Feedback.
- If content that you own or have rights to has been posted to the Services without your permission and you want it removed, please contact us at [email protected] immediately. If User Contents are alleged to infringe another person’s intellectual property, HOBBYTEER will take appropriate action, such as disabling such content if we receive a report of infringement that complies with our policies, or terminating your Account if you are found to be a repeat infringer. HOBBYTEER retains absolute discretion whether to remove or modify any User Contents or take any other action pursuant to any report we receive.
- Registered Users must clearly disclose any sponsored content or paid partnerships in their User Content, in compliance with applicable laws and regulations.
- INTELLECTUAL PROPERTY RIGHTS
- Unless otherwise indicated in writing by HOBBYTEER, the Services, all contents, and all other materials contained therein, including, without limitation, our logo, and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, “HOBBYTEER Contents”) are the proprietary property of HOBBYTEER or our affiliates, licensors, or users, as applicable. Our logo and any of our product or service names, or slogans that may appear on the Services or elsewhere are trademarks of HOBBYTEER or our affiliates, and may not be copied, imitated or used, in whole or in part, without our prior written permission.
- You may not use any HOBBYTEER Content without our express written permission. You may not use framing techniques to enclose any HOBBYTEER Content without our express written consent. In addition, the look and feel of the Services, including without limitation, all page headers, custom graphics, button icons, and scripts constitute the service mark, trademark, or trade dress of HOBBYTEER and may not be copied, imitated, or used, in whole or in part, without our prior written permission.
- Notwithstanding anything to the contrary herein, except for User Contents, you understand and agree that you shall have no ownership or other property interest in your Account, and you further agree that all rights in and to your Account are and shall forever be owned by and inure to our benefit.
- PROHIBITED CONDUCT
- As a Registered User, when using the Services, you agree not to engage in the following conducts:
1) Use the Services for any illegal purpose or in violation of any local, state, national, or international law or regulation;
2) Violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
3) Post, upload, or distribute any User Content or other content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could consider objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, offensive or otherwise inappropriate;
4) Interfere with security-related features of the Service, including by: (a) disabling or circumventing features that prevent or limit use or copying of any content; or (b) reverse engineering or otherwise attempting to discover the source code of any portion of the Services except to the extent that the activity is expressly permitted by applicable law or regulation;
5) Interfere with the operation of the Services or any other Registered Users’ enjoyment of the Service, including by: (a) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (b) making any unsolicited offer or advertisement to another User of the Service; (c) attempting to collect, personal information about another User or third party without consent; or (d) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service, or violating any regulation, policy, or procedure of any network, equipment, or server;
6) Perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other accounts without permission, or falsifying your age, date of birth or other information; or
7) Sell or otherwise transfer the access granted under these Terms or any right or ability to view, access, or use any contents made by HOBBYTEER.
8) Misrepresent or fail to disclose sponsorship status, paid partnerships, or any material connection with product manufacturers in User Content.
- HOBBYTEER will not be held liable for any damages, pecuniary or otherwise, to you or any third party arising from your failure to adhere to this Section, and disclaims any responsibility in this regard. HOBBYTEER reserves the right to terminate your Account, immediately and without notice, for any violation of this Section.
- CANCELLATION AND TERMINATION
- Your Account will continue unless and until you cancel it or HOBBYTEER terminates, cancels, suspends or disables it. You may cancel your Account at any time by following these steps: 1) Log in to your Account on our Services, 2) Navigate to the “Account Settings” or a similarly named section, and 3) Locate the “Cancel Account” option and submit a cancellation request. Upon receiving your cancellation request, HOBBYTEER will initiate the account termination process. Your Account will be canceled and terminated within 10 business days, unless there are any outstanding balances associated with your Account. If you have any outstanding balances on your Account at the time of cancellation, HOBBYTEER reserves the right to delay the account termination until such balances are paid in full. You will be notified of any outstanding balances that need to be settled before your Account can be fully closed.
- HOBBYTEER may also, in our sole discretion, terminate or suspend your Account for failure to provide accurate information, any breach of these Terms (or any other terms or policies incorporated herein) or any abusive or fraudulent conduct towards any our employees or other users.
- If you or HOBBYTEER terminate your Account, you may lose any information associated with your Account, including User Contents.
- DISCLAIMER AND LIMITATION OF LIABILITY
- AS TO THE HOBBYTEER CONTENTS
1) HOBBYTEER makes no warranties or representations whatsoever with respect to the Services, any linked site, or the content, including without limitation, the availability of any site or the content, information and materials on it, or the accuracy, completeness or timeliness of the content, information and material. HOBBYTEER does not warrant or represent that your access to, or use of, the Services or any linked site will be uninterrupted, free from errors or omissions, that defects will be corrected, or that the Services or any linked site is free of computer viruses or other harmful components. Without limiting the foregoing, all content provided on or through the Services is provided to users “AS-IS,” with no warranty of any kind, either express or implied, including without limitation, implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security or accuracy. The “AS-IS” condition of content is expressly made a condition of any transaction arising through or as a result of the Services. Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. You must check your local laws for any restrictions or limitations regarding the exclusion of implied warranties.
2) Under no circumstances shall HOBBYTEER, our affiliated and related entities, its and their suppliers, or their respective directors, officers, employees, or agents (collectively, the “HOBBYTEER Releasees”) be liable to you or to any third-party for any direct, indirect, consequential, incidental, special or punitive damages, whether in contract or in tort, including without limitation, negligence, arising in any way out of access to, or use of, or inability to access or use any of the Services or any linked site or its contents, including without limitation, lost profits, business interruption, or loss of programs or other data on computer systems or otherwise, without regard to whether HOBBYTEER is expressly advised of the possibility of such damages.
- AS TO THIRD PARTIES
1) Our Services may contain links to third-party websites or services that HOBBYTEER does not own or control (for example, links to YouTube, Facebook, Twitter, or Instagram). You may also need to use a third party’s product or service in order to use some of our Services (like a compatible mobile device to use our mobile apps). When you access these third-party services, you do so at your own risk. These third parties may require you to accept their own terms of use. HOBBYTEER is not a party to those agreements; they are solely between you and the third party. Also, you may use the Services to interact with other individuals, either online or in person. However, you understand that HOBBYTEER does not screen users of our Services other than to meet certain compliance and legal obligations, and you release HOBBYTEER from all liability relating to your interactions with other users. Please be careful and exercise caution and good judgment in all interactions with others, especially if you are meeting someone in person.
2) Under no circumstances shall the HOBBYTEER Releasees be liable to you or to any third-party for any direct, indirect, consequential, incidental, special or punitive damages, whether in contract or in tort, including without limitation, negligence, arising in any way out of any product or service available, sold or provided through the Services, including without limitation, lost profits, business interruption, or loss of programs or other data on computer systems or otherwise, without regard to whether HOBBYTEER is expressly advised of the possibility of such damages.
- IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED US DOLLARS ($100).
- HOBBYTEER makes no warranty that (a) the Services will meet your requirements, (b) the Services will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the Services will be accurate or reliable, or (d) the quality of any products, platforms, information, or other material purchased or obtained by you through the Services will meet your expectations.
- You further agree that HOBBYTEER shall have control of the defense or settlement of any third-party claims. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.
- INDEMNIFICATION
- Notwithstanding any other term of these Terms or any act or failure to act by HOBBYTEER, you agree to indemnify, defend and hold harmless HOBBYTEER and HOBBYTEER Releasees where applicable, from and against any damages, liabilities, costs and expenses (including attorneys’ fees), claims or demands, arising out of (i) your use of or connection to the Services, the information thereon, the information downloaded therefrom; (ii) your participation in any activities arising from the Services or the information thereon; (iii) your violation of, or failure to perform your obligations under these Terms or Privacy Policy; or (iv) your violation of any rights of a third party.
- The foregoing indemnification obligation shall survive termination of these Terms and the operation of the Services or any services or product available, sold or provided to you arising out of or related to your use of the Services. HOBBYTEER reserves the right, in our sole election and at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our legal team of any such claims.
- GEOGRAPHIC RESTRICTIONS AND DISPUTE RESOLUTION
- HOBBYTEER intends to provide the Services for use by persons located in the United States. HOBBYTEER makes no claims that our website, mobile app, or any of the Services is accessible or appropriate outside of the United States. Access to the Services may not be legal by certain persons or in certain countries. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
- You agree that all matters relating to the Services, and these Terms, and any dispute or claim arising therefrom will be construed in accordance with the laws of the State of California without giving effect to any choice or conflict of law provision or rule.
- You agree that any dispute or claim arising from or relating to these Terms shall be settled by final and binding arbitration, rather than in court, using the English language, administered by the American Arbitration Association (the “AAA”) under its Arbitration Rules then in effect (those rules are deemed to be incorporated by reference into this section), unless otherwise required by law. Arbitration, including threshold questions of arbitrability of the dispute, will be handled by a sole arbitrator in accordance with those rules. The arbitrator shall follow any applicable law in rendering an award. Judgment on the arbitration award may be entered in any court that has jurisdiction. For all actions under the AAA Arbitration Rules, the hearings will be conducted in San Diego, California or at another mutually agreed location.
- Any arbitration under these Terms will take place on an individual basis. You understand that by agreeing to these Terms, you and HOBBYTEER are each waiving the right to trial by jury or to participate in a class action lawsuit. Class arbitrations shall only be available if requested by either party under its Class Action Arbitration Rules and approved by the arbitration entity. Notwithstanding the foregoing, each party shall have the right to bring an action in a court of proper jurisdiction for injunctive or other equitable or conservatory relief, pending a final decision by the arbitrator.
- Any legal action against HOBBYTEER related to the Services must be filed and take place in San Diego, California.
- PRIVACY
- For information about how HOBBYTEER collects, uses, shares, or otherwise processes information about you and your use of our Services, please see our Privacy Policy.
- Where permitted by law, HOBBYTEER will only access, view, or listen to your User Contents in limited ways. For example, in order to perform the Services, we may need to access, view, or listen to your User Content to (i) respond to Feedback or support requests; (ii) detect, prevent, or otherwise address fraud, security, legal, or technical issues; and (iii) enforce these Terms. Our automated systems may analyze your User Content using techniques such as machine learning in order to improve our Services and the user experience.
- You agree not to collect, process, or store any Sensitive Personal Information using the Services. You agree not to transmit, disclose, or make available Sensitive Personal Information to HOBBYTEER or our third-party providers. “Sensitive Personal Information” means an individual’s financial information, sexual preferences, medical, or health information protected under any health data protection laws, biometric data (for purposes of uniquely identifying an individual), personal information of children protected under any applicable child data protection laws and any additional types of information included within these Terms or any similar term (such as “sensitive personal data” or “special categories of personal information”) as used in applicable data protection or privacy laws.
- HOBBYTEER MAY PROCESS AND STORE INFORMATION IN THE UNITED STATES AND OTHER COUNTRIES. BY USING OUR SERVICES, YOU AGREE THAT YOU AUTHORIZE HOBBYTEER TO TRANSFER YOUR PERSONAL INFORMATION ACROSS NATIONAL BORDERS AND TO OTHER COUNTRIES WHERE HOBBYTEER AND OUR PARTNERS OPERATE.
- MISCELLANEOUS
- No failure or delay in enforcing any provision, exercising any option or requiring performance, shall be construed to be a waiver of that or any other right in connection with these Terms.
- Any rights and licenses granted by these Terms may not be transferred or assigned by you, but may be assigned by HOBBYTEER without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

- These Terms, together with our Privacy Policy and any other rules, regulations, procedures and policies which we refer to and which are hereby incorporated herein by this reference, constitutes the entire agreement between you and HOBBYTEER with respect to the Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and us with respect to the Services.
- The captions and headings are for convenience of reference only and shall not be used to construe the terms or meaning of any provisions of these Terms. You agree that you have reviewed and negotiated the terms and conditions of these Terms and have had the opportunity to contribute to its revision. Accordingly, the rule of construction to the effect that ambiguities are resolved against the drafting party shall not be employed in the interpretation of these Terms. Rather, each provision of these Terms shall be construed fairly as to both you and HOBBYTEER and not in favor or against us.
- Upon the expiration or termination of these Terms, some or all of the Services may cease to operate without prior notice. Section 5, 8, 9, 10 and 12 will survive the termination of these Terms.
- A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
